These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and AdvertDrive Solutions ("AdvertDrive Solutions," "AdvertDrive," "we," "our," or "us") governing your access to and use of our website, AI-powered services, automations, and other related offerings (collectively, the "Services"). By accessing or using any portion of the Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services.

1. Definitions

• "Services" refers to all tools, software, AI agents, automations, and web-based interfaces offered by AdvertDrive Solutions.
• "User" refers to any individual or entity that accesses or uses the Services.
• "Client Data" means any data or content provided by or on behalf of a User for use with the Services.
• "Affiliate" includes any entity that controls, is controlled by, or is under common control with AdvertDrive Solutions.

2. Description of Services

AdvertDrive Solutions provides AI-powered automation tools and digital infrastructure services for businesses, including but not limited to website chat widgets, voice agents, SMS messaging services, Facebook/Instagram messaging chatbots, social media marketing, operational workflows and automations, lead qualification workflows, CRM integrations, and performance dashboards. These Services are intended to enhance customer engagement, streamline operations, and automate repetitive workflows.

While we strive for accuracy and reliability, the Services are provided "as-is" and may rely on third-party data, client content, or machine learning algorithms subject to inherent limitations. Users should not rely exclusively on automated outputs without human verification.

3. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into binding contracts to use the Services. By using the Services, you represent and warrant that you meet these criteria.

4. Acceptable Use Policy

You agree to use the Services solely for lawful purposes and in accordance with these Terms. You shall not:

• Use the Services in any way that violates applicable laws or regulations;
• Infringe upon or misappropriate intellectual property rights of others;
• Interfere with or disrupt the Services or servers;
• Attempt unauthorized access to any part of the Services;
• Transmit or store inappropriate, obscene, or offensive material;
• Exploit or reverse-engineer the platform without permission.

5. Term and Termination

These Terms remain effective until terminated. We may suspend or terminate your access if you breach these Terms. Certain clauses survive termination, including those on IP, liability, and governing law.

6. Intellectual Property Rights

All intellectual property rights in the Services (e.g., code, AI prompts, voice agent configurations) remain the exclusive property of AdvertDrive Solutions. You retain ownership of your own data but grant us a license to use it solely to provide the Services.

7. Privacy and Data Security

Use of the Services is subject to our Privacy Policy. By using the Services, you consent to data collection, use, and disclosure as described therein.

8. Third-Party Services and Links

Our Services may connect with third-party tools (e.g., CRMs, analytics). We are not responsible for their content, availability, or practices. Use them at your own discretion.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ERROR-FREE OR UNINTERRUPTED OPERATION.

10. Limitation of Liability

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED $100 OR THE AMOUNT PAID TO US IN THE LAST SIX MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend and hold us harmless against claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Modifications to Terms

We may update these Terms at any time. Continued use of the Services means you accept any changes. Last updated date will be reflected at the top of the page.

13. Governing Law

These Terms are governed by Maryland law. Any disputes must be resolved in state or federal courts located in Maryland.
